1) Who We Are & What These Terms Cover

This online store and website (the “Site”) are run by The Uprite. In these Terms, “The Uprite,” “we,” “us,” and “our” mean The Uprite.

Platform hosting: Our store runs on Shopify Inc., which provides the e-commerce technology that allows us to sell products online.

Certain items may be sold only online and may be available in limited quantities. Returns and exchanges are handled according to our Return Policy.

We do our best to display product colors and images accurately, but we cannot promise your screen will show colors exactly as they appear in real life.

We may set purchase limits or restrict sales by customer, household, geography, or jurisdiction. We may also limit quantities per order and adjust product descriptions or pricing at our discretion. Any offer is void where prohibited.

We do not guarantee that any product or service will meet every expectation, or that all Service errors will be corrected.

We may decline, restrict, or cancel orders at our discretion, including where orders appear to be placed by resellers, dealers, or distributors.

If we change or cancel an order, we may try to contact you using the email address, phone number, or billing details you provided at checkout.

Where certain liability limitations are not permitted, liability will be limited to the greatest extent allowed under applicable law.

If you breach these Terms or violate any law or third-party rights, you agree to defend, indemnify, and hold harmless The Uprite and its related parties from resulting claims, losses, and reasonable legal fees.

18) If One Part Is Unenforceable

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

19) Ending Access

These Terms stay in effect unless ended by you or by us. You may stop using the Site at any time. We may suspend or terminate your access immediately if we reasonably believe you have breached these Terms. Any obligations that should logically continue (e.g., liability limits, indemnity, and similar provisions) will survive termination.

20) Full Agreement

These Terms, together with any policies we post or link to, represent the complete agreement between you and The Uprite regarding the Site and Services and replace any prior communications or agreements on the same subject.

21) Account Registration & Security

You may be able to create an account to access certain functions. You agree to provide truthful and up-to-date information and to keep it current.

You are responsible for protecting your login credentials. You are also responsible for activity under your account, whether authorized or not. We may disable access or credentials if we believe there has been misuse or a breach of these Terms.

22) Payments

Online payments are processed through payment service providers. When you pay, you may be redirected to a secure payment flow operated by the provider. Payment details are transmitted to the provider for authorization and confirmation.

23) Additional Legal Points

This agreement is between you and The Uprite only. No other person can enforce these Terms. We may transfer our rights and obligations to another organization where permitted, without reducing your rights under these Terms.

If we delay enforcing a right, that does not mean we waive it. Any waiver must be in writing and applies only to the specific situation.

24) Governing Law & Dispute Resolution

The Site is managed from the Netherlands. These Terms and any separate agreements for Services are governed by the laws of the Netherlands.

Where applicable, disputes, claims, or controversies relating to the Site, store, products, advertising, marketing, or sales may be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. You must first send written notice of your claim to allow us an opportunity to resolve it. If not resolved within 30 days, arbitration may be initiated.

Arbitration will be conducted by a single arbitrator. Claims must be brought on an individual basis (no class actions), and you waive the right to a jury trial and court litigation for covered claims, except where such waivers are not permitted by law. If any portion of this arbitration clause is deemed unenforceable, the remaining portion remains effective, and any invalidated part will be severed.
